These Terms of Service (the "Terms") set forth the conditions for providing Suitoly (the "Service") and the rights and obligations between the operator and users regarding use of the Service. Users shall use the Service only after agreeing to these Terms.
These Terms are authored in Japanese, and other language versions are provided for reference only. In case of any discrepancy between the Japanese version and a translated version, the Japanese version shall prevail.
These Terms apply to all relationships concerning the use of the Service. Any individual notices or guidelines posted by the operator on the Service constitute part of these Terms.
Users may use the Service by registering an account in the manner specified by the operator. Users shall provide truthful and accurate information upon registration.
Users are responsible for managing their own accounts (email address, password, etc.). The operator is not liable for unauthorized use by third parties.
The Service is provided free of charge in principle. If the operator offers paid features or plans in the future, their content, pricing, and payment methods will be separately defined and applied only with user consent.
Users shall not engage in any of the following acts when using the Service:
Rights to User Content belong to the user. The operator handles User Content only to the extent necessary to provide, maintain, and improve the Service and to respond to issues. Handling of personal information is separately governed by the Privacy Policy.
Users may, at their own discretion and responsibility, share a ledger with other users. Information contained in a shared ledger can be viewed and edited by the other user. The user who created a ledger (the "Owner") may transfer ownership to the other user. Ownership transfer is completed solely by the Owner's action and does not require prior consent from the recipient (a notification email is sent to the recipient upon completion). The operator is not liable for the selection of the other user, the transfer of ownership, or any consequences arising from sharing. User Content registered in a shared ledger may remain in the other user's ledger even after the original user has withdrawn from the Service, as long as the other user continues to use it.
The operator may change the content of the Service, temporarily suspend its provision, or terminate it without prior notice to users. The operator is not liable for any damages users incur as a result.
Users may withdraw from the Service and delete their account at any time using the specified method. However, a user who is the Owner of a ledger shared with another user must transfer ownership to the other user or unshare the ledger before withdrawing, and cannot delete their account until these procedures are completed. Upon account deletion, User Content associated with the account is deleted. However, User Content registered in a ledger shared with another user (including a ledger whose ownership has been transferred) is not deleted; only its association with the original poster is removed, and it remains in the other user's ledger. This removal of association cannot be undone.
If a user violates these Terms, or if the operator reasonably determines that a violation is likely, the operator may restrict the user's use of the Service or delete the user's account without prior notice.
Users represent and warrant that they are not, and have no relationship with, organized crime groups or other anti-social forces.
The Service is provided "as is." The operator does not warrant that the Service will meet a user's particular purpose, provide the expected functionality, accuracy, or usefulness, or operate without interruption, errors, or defects.
The operator is not liable for any damages incurred by users arising from the use or inability to use the Service (including data loss or corruption, or service interruption), except where the operator has acted with intent or gross negligence. Users are responsible for maintaining appropriate backups of important data.
The operator may amend these Terms without notifying users when deemed necessary. The amended Terms take effect from the time they are posted on the Service. If a user continues to use the Service after such changes, the user is deemed to have agreed to the changes.
Communications and notices from the operator to users regarding the Service will be made by posting on the Service or by sending to the email address registered by the user.
Users may not transfer or pledge as collateral their position under these Terms or any rights or obligations arising from these Terms to a third party without the operator's prior written consent.
These Terms shall be interpreted and applied in accordance with the laws of the operator's location and other applicable laws. If a dispute arises between the operator and a user regarding the Service, both parties shall first attempt to resolve it through good-faith discussion; if resolution is not reached, the court having jurisdiction over the operator's location shall be the exclusive court of first instance.
